Terms of Service

Welcome to VirPhone. These Terms of Service ("Terms") govern your use of the VirPhone website, hardware purchases, hardware rentals, and unified communications platforms (collectively, the "Services"). By accessing or using our Services, you ("Customer," "you," or "your") agree to be bound by these Terms.

1. Services Offered

VirPhone provides business-class communication tools, including but not limited to:

• Cloud PBX and UCaaS (Unified Communications as a Service) platforms.
• SIP Trunking and VoIP calling services.
• Telecom hardware sales (e.g., desk phones, conference devices).
• Monthly hardware rentals (Device-as-a-Service).

2. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and maintain the security of your account credentials. You are fully responsible for all activities that occur under your account, including unauthorized access resulting from your failure to protect your login information.

3. Billing and Payments

Service Subscriptions

Telecom services are billed on a recurring monthly or annual basis, as agreed upon during checkout or quote acceptance. Fees are due in advance of the service period. Failure to pay may result in suspension or termination of your Services.

Taxes and Regulatory Fees

All prices are exclusive of federal, state, and local taxes, Universal Service Fund (USF) fees, and other telecom regulatory charges, which will be added to your invoice as applicable by law.

4. Hardware Purchases and Rentals

Purchases

Hardware purchases are final upon shipment. Returns for defective equipment are governed by the respective manufacturer's warranty. VirPhone acts solely as an authorized reseller for brands like Sangoma, Yealink, and Poly.

Rentals

Rented devices remain the property of VirPhone. Rental terms are subject to an initial minimum commitment period (typically 12 or 24 months). Upon termination of the rental agreement, devices must be returned in good working condition, normal wear and tear excepted. Failure to return devices will result in an unreturned equipment fee.

5. Acceptable Use Policy

Your use of the Services must strictly comply with our Acceptable Use Policy. You agree not to use the Services for unlawful purposes, spam, automated robocalling without consent, or any activity that disrupts the VirPhone network.

6. Intellectual Property

All content, software, logos, and materials provided by VirPhone remain our exclusive property or the property of our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business operations.

7. Limitation of Liability

IN NO EVENT SHALL VIRPHONE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. VIRPHONE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless VirPhone, its officers, employees, and partners from any claims, damages, liabilities, or expenses (including legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any laws (including TCPA regulations).

9. Termination

You may terminate your month-to-month Services with a 30-day written notice. We reserve the right to suspend or terminate your account immediately if you breach these Terms or the Acceptable Use Policy, or for non-payment.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Kentucky.
